What the Plan includes, how much it costs, how long it lasts, how it renews, how to cancel, how to withdraw and what guarantee you have on the Device.

Courtesy translation. In case of discrepancy, the Italian text prevails.

These Terms govern the purchase of a Subscription to the BGates Service and, where we sell the Device ourselves, the supply of the Device. You accept them at the time of payment, before you are bound.

They cover only the GT PRO 4G, that is the Device connected to the mobile network that controls an Entrance. They do not cover the basic model that works by SMS only, or Bluetooth pairing: for those, the instructions supplied with the product apply.

Words beginning with a capital letter — Device, Entrance, Service, Subscription, Smart Plan, Business Plan, Authorised Number, Opening Log, Private Area, Customer, User, Distributor, Installer — have the meaning given in the Terms of Use (/termini), which apply together with these Terms.

1. Who we are

Business Gates S.r.l., with registered office at Via Ripamonti 44, 20141 Milano (Italy). P.IVA 05759280968 · email info@bgates.it · telephone 02 52 20 18 38 · fax 02 52 20 18 20. For personal data requests: info@bgates.it, with ‘privacy’ in the subject line.

In the text that follows, BGates means us.

2. Two separate contracts, not one

With BGates you can enter into two different contracts, which remain separate even when you enter into them at the same time and pay in a single payment:

ContractSubject matterLegal framework
Supply of the Devicethe GT PRO 4G, which becomes yourssale of goods with digital elements (Articles 128 et seq. of the Codice del consumo (Italian Consumer Code))
Subscription to the Serviceremote opening, management of Authorised Numbers and Invites, Opening Log, notifications, Private Area, updates, supportsupply of a digital service on a continuing basis

The distinction is not a formality and should be read as follows: the Device remains yours even when the Subscription ends, and the legal guarantee on the Device lasts for the period stated in section 15, not for as long as the Subscription lasts.

In many cases it is not us who sell you the Device: it is sold to you by the Distributor or the Installer you bought it from. In that case, for the purposes of the legal guarantee, they are the seller; BGates remains your sole point of contact for the Subscription. See section 15.

3. Whom we are contracting with

Some rules differ depending on who you are, and you declare which applies at the time of purchase:

  • you are a Consumer if you are an individual buying for purposes outside your trade, business, craft or profession. Sections 13, 14 and 15 apply in full, and your rights cannot be waived (Art. 143 of the Codice del consumo): no clause of these Terms can reduce them;
  • you are a professional if you buy in the course of a business or professional activity. An apartment building buying through its managing agent, a company, the Distributor and the Installer are also professionals. The 14-day right of withdrawal in section 13 and the protections in section 14 do not apply to you; sections 16 and 21 do.

4. What the Plan includes

The Subscription is offered at two levels — Smart Plan and Business Plan — each with a monthly and an annual billing option. The level, not the price, determines which features you have.

The Smart Plan is reserved for private individuals; the Business Plan is reserved for businesses and professionals, and is purchased by entering a company name and VAT number. On the Plan selection screen you state whether you are activating as a private individual or as a business, and the corresponding Plan is offered to you.

The items below are the same ones you see on the Plan selection screen before paying, and they form an integral part of the contract (Art. 49(5) of the Codice del consumo).

4.1 Included in both Plans

Item, as it appears on screenWhat it means
‘BGates "all Europe IoT" SIM: connects to the operator with the strongest signal’the Device uses a SIM supplied and managed by BGates, not one of yours. The data traffic needed for the Service is included in the fee
‘Up to 500 users included, with invite via WhatsApp’you can authorise up to 500 Authorised Numbers per Device. The Invite is sent via WhatsApp and, if it does not get through, by SMS
‘Device activation with a free call from your mobile’the Entrance opens when you call the Device's number from an Authorised Number. The Device does not answer the call: it hangs up, and you are not charged for the call
‘Device activation via the Internet with the BGates AI web app’the Entrance can also be opened from the Private Area, through the Device's mobile network
‘Device setup from the BGates AI web app’configuration of the Device from the Private Area

4.2 Differences between the two Plans

Smart PlanBusiness Plan
Commercial name on screenBGates SmartBGates Business
Time slots and days for each Userno — ‘User setup from the web app, without differentiated access’yes — ‘User setup WITH differentiated access: day, time, from/to’
App for opening via Bluetoothpaid, bought by the User from the app store: ‘€5.99 iOS, €4.99 Android, one-off per user’included: ‘iOS and Android app for opening via Bluetooth, included’
Device backup and restorenoyes
Opening Log visible in the Private Areanoyes (‘Access log’)
Grouping of several Devicesnoyes
Device guarantee stated on screen‘2 years’‘5 years’

Two clarifications that apply in any case, whichever Plan you choose:

  1. the level of the Plan does not affect the security of the Service: security updates, data retention and your rights to the protection of your personal data are the same in both Plans;
  2. the Opening Log exists in both Plans. On the Smart Plan you do not see it in the Private Area, but openings are recorded all the same: the Device records the date, time and number of every call it receives, including calls from people who are not authorised. The Business Plan's ‘Access log’ is the visibility of the Opening Log, not its existence.

The price of the Smart Plan's Bluetooth app (€5.99 on iOS, €4.99 on Android, one-off per User) is not collected by BGates: you pay it to the Apple or Google store, on the store's terms. The Bluetooth channel is not governed by these documents.

5. What is needed for the Service to work

These are the technical requirements of the Service, and we state them before purchase because without them the Device cannot open remotely (Art. 49(1)(t) and (u) of the Codice del consumo).

  1. 4G mobile network coverage at the point where the Device is installed. If coverage is absent or drops, remote opening and commands from the Private Area do not work.
  2. We supply and manage the SIM. You cannot replace it with one of your own, and its activation with the network operator is the separate price item in section 6.
  3. An Internet connection and a phone or computer to use the Private Area.
  4. The Device has a four-digit password, supplied set to 0000. It must be changed when the Device is first switched on. This is the most important configuration obligation you have, and it is also set out in the Account Security Rules (/sicurezza-account).
  5. The phone number you give when registering becomes an opening key. After payment we automatically authorise it on the Device, every day of the week: from that moment, anyone calling from that number opens the Entrance. You can change or revoke it from the Private Area.
  6. Every call to the Device is recorded, including a call from a number that is not authorised. The Device does not answer, but the number has already been captured before it hangs up.
  7. The Service is not a security system or an emergency system. It does not replace a key, a remote control or any other way of opening the Entrance: always keep an alternative means of access. The same statement appears in the Terms of Use, the Limitations of Liability and the Account Security Rules, and must not be contradicted by any marketing page.
  8. BGates does not design, manufacture or install the Entrance's automation. The Service sends a command pulse: it does not replace the safety devices of the automation and does not check that they work.

6. Price, VAT and SIM activation

6.1 The fee

Price list in force from 24 September 2026, for one Device:

PlanBillingPriceMonthly equivalent
Smart Plan (private individuals)monthly€4.99 a month€4.99
Smart Plan (private individuals)annual€47.88 a year€3.99
Business Plan (businesses)monthly€8.99 a month€8.99
Business Plan (businesses)annual€95.88 a year€7.99

Prices include VAT and are in euro. The price that counts is the one shown on the Plan selection screen at the time of purchase and summarised on the payment page.

6.2 SIM activation

The first invoice includes, once only, the SIM activation fee: €9.99 including VAT, charged with the first payment. It is a separate line in the payment summary, with its own price, and it is not included in the fee. It is not repeated on renewal.

No amount other than the fee is charged to you unless you have expressly accepted it, with a tick box that is never pre-ticked (Art. 65 of the Codice del consumo). If this were to happen, you are entitled to a refund of that amount.

6.3 What is not included

The following are not included, and are not collected by BGates: installation of the automation and connection of the Device; the Smart Plan's Bluetooth app (section 4.2); your mobile phone's call charges; the electricity supply to the Entrance.

7. How the contract is concluded

  1. You choose the Plan and read these Terms.
  2. You tick ‘I accept the Terms of Sale’. The tick box is separate from any other, is not pre-ticked, and we record which version of the document was shown to you, with date, time and IP address.
  3. You press the ‘Order with obligation to pay’ button and are taken to the payment page (section 8).
  4. The contract is concluded when the payment succeeds.
  5. We send you without delay, by email, an order confirmation summarising what you have bought, the price, the duration and the applicable terms, before the Service starts. The payment provider's receipt does not replace this confirmation.

7.1 When we deliver

Where we sell the Device ourselves, we deliver it to you within 30 days of the conclusion of the contract. If we do not deliver it within that period, you can ask us in writing to deliver within an appropriate additional period; if that period also expires, you can terminate the contract and we refund without undue delay all sums paid (Art. 61 of the Codice del consumo). We record the date of delivery, which is also the day from which the fourteen-day withdrawal period in section 13 and the two-year guarantee in section 15 run.

Where the Device is sold to you by the Distributor or the Installer, the delivery period is the one in the contract you concluded with them.

This is how it is designed, and it is not yet live as of 22 September 2026: recording of the delivery date. Today the only date the Service records is the date of the Device's first connection to the network, which does not coincide with delivery.

8. Payment through Stripe

Payment is handled by Stripe Payments Europe, Limited (Ireland).

  • The page on which you type your card details belongs to Stripe, not to BGates. Your card details do not pass through our systems and are not stored by us: we send Stripe only the subscription identifier, the Plan code and your user identifier; your name, email, telephone and billing address are collected by Stripe directly from you on its page.
  • Accepted payment methods: payment card and PayPal for Customers; card and SEPA Direct Debit for Distributors and Installers paying online.
  • Automatic renewal (section 9) uses the same payment method you registered. You can replace your card at any time from the Private Area, which takes you to Stripe's customer portal.
  • Stripe also processes personal data for its own fraud prevention purposes. What it receives, where and on what legal basis is set out in the Privacy Notice (/privacy) and in the list of Suppliers (/fornitori).

9. Duration, automatic renewal and cancellation

9.1 Duration and start date

The Subscription lasts one month or one year, depending on the billing option you chose, and starts on the day the payment succeeds.

9.2 Automatic renewal

On expiry, the Subscription renews automatically for a period equal to the previous one, at the price in force for your Plan, and the amount is charged to the registered payment method. The renewal is not ‘tacit’ in the sense that nobody tells you about it: we tell you beforehand (section 9.3) and you can stop it at any time (section 9.4).

For professionals, this clause is one of those requiring specific approval (section 21).

9.3 We notify you before renewal

This is how it is designed, and it is not yet live as of 22 September 2026: the advance renewal notice email. None of the communications currently sent by the Service serves this purpose.

Before each renewal we send you an email stating: the Device, the Plan, the exact amount, the date of the charge and the direct link to the page from which you can cancel. The notice is given 7 days in advance.

If you have already cancelled, the notice is not sent: announcing a renewal that will not happen would be worse than silence.

9.4 How to cancel

From the Private Area, on the subscription page, with the same number of steps you took to subscribe. You do not need to write to support, you do not need to phone, and you do not need to give a reason.

  • Cancellation takes effect at the end of the period already paid for: until that day the Service remains active and nothing further is charged to you.
  • There is no advance deadline: you can cancel up to the last day of the current period.
  • You can withdraw your cancellation before expiry, again from the Private Area, and the Subscription continues without interruption.

Cancellation is different from withdrawal under section 13: cancellation prevents renewal; withdrawal dissolves a contract that has just been concluded.

9.5 Price changes

We may change the fee only for the following period and only after notifying you in writing 60 days in advance, stating the reason. The change may not exceed 10% on an annual basis.

If you are not happy with the change, cancel before the date stated and the Subscription ends at the expiry of the current period, at the old price. No cost, no penalty.

10. Invoicing

You are…What you receive
Consumera copy of the invoice, made available when it is issued and electronically accessible from the Private Area, unless you waive it. The copy states that it is a copy of the document transmitted to the Sistema di Interscambio (Italian e-invoicing exchange system)
Professional (company, apartment building, Distributor, Installer)the electronic invoice, transmitted through the Sistema di Interscambio to the recipient code (SDI) or PEC address you gave us. Keep them up to date in your account details: without them, the invoice will not reach you

Invoices issued remain available in the Private Area, on the subscription page.

We keep invoices and related records for ten years, because Art. 2220 of the Codice civile (Italian Civil Code) requires us to: this is why, if you ask for your Account to be deleted, only the tax data remains for that period. All other retention periods are in the Retention Policy (/conservazione).

11. What happens when the Subscription ends

This applies both if you cancel and if the contract is terminated for non-payment (section 12).

  1. The Device remains yours. We do not deactivate it remotely and we do not make it unusable.
  2. The SIM we supplied is returned to non-operational status with the network operator. From that moment the Device is no longer connected to the mobile network: remote opening from the Private Area, Invites, notifications and the Opening Log stop working.
  3. Authorised Numbers remain stored on board the Device. They are not deleted when the Subscription ends: if you want them to stop opening, revoke them beforehand, or carry out the decommissioning procedure in the Account Security Rules.
  4. Your data. Within 30 days of termination you can ask us for a copy of your Entrance's data; after that we delete it, except for the tax data in section 10 and the periods stated in the Retention Policy.
  5. You can reactivate the Service later by taking out a new Subscription: you do not need to buy the Device again.

12. Non-payment

If a charge fails:

  1. the Subscription moves to ‘payment required’ status and you see this immediately in the Private Area;
  2. we notify you by email and the payment provider retries the charge on its own schedule;
  3. if the payment is not brought up to date, we may suspend the Service, notifying you. The suspension is proportionate to the breach and is never immediate;
  4. if the breach is not remedied, the contract is terminated and section 11 applies.

When we suspend or terminate, we tell you, also stating this: the Entrance can still be opened with the physical means available to you. Suspending a service that opens a gate is not like suspending a newsletter, and the alternative means of access in section 5, point 7, exists precisely for this.

For professionals, the right to suspend and the termination clause are among those requiring specific approval (section 21).

13. Right of withdrawal — if you are a Consumer

You have fourteen days to withdraw without giving any reason and without any cost other than those stated in section 13.3 (Art. 52 of the Codice del consumo). The right of withdrawal in this section concerns contracts you conclude with us at a distance — from the Private Area, the website or the app — or off our business premises, and it is exercised against the seller you contracted with: for the supply of the Device, see section 13.1.

13.1 When the fourteen days start

ContractThe period starts from
Subscription to the Servicethe day the contract is concluded, that is when the payment succeeds
Purchase of the Device, where we sell the Device under a distance contract or an off-premises contractthe day on which you, or a third party designated by you other than the carrier, acquire physical possession of the Device

If you bought the Device from the Distributor or the Installer, you exercise the right of withdrawal against them, under the terms of the contract you concluded with them: we cannot grant it in their place, and you remain free in any case to withdraw from the Subscription with us. If the purchase took place on business premises, the law does not provide for the fourteen-day right of withdrawal: the legal guarantee of conformity (section 15) and the right of withdrawal from the Subscription remain unaffected.

When you conclude both contracts with us at a distance, there are two separate periods starting at two different times. In the Private Area we show you the last day on which you can withdraw, for as long as the period is running.

13.2 How to exercise it

By an explicit statement, before the period expires. You can:

  • fill in the model form in section 14 and send it to info@bgates.it, or by post to our registered office address;
  • or write to us in any other way, provided your decision to withdraw is clear.

We acknowledge receipt without delay, on a durable medium. To meet the deadline it is enough for you to send your communication before the fourteen days have expired.

13.3 What we charge you if you withdraw after asking for immediate start

At the time of purchase we ask you to tick a separate box, which is not pre-ticked:

☐ I ask for the Service to start immediately, before the fourteen-day cooling-off period has passed. I understand that, if I withdraw, I will have to pay the proportionate amount for the days of Service already provided.

If you tick it and then withdraw, you owe us an amount proportionate to what has been provided to you up to the time you informed us of your withdrawal, calculated on the price of the Plan (Art. 57(3)). We refund the rest.

If you did not ask for immediate start, or if we did not inform you of the right of withdrawal, you owe us nothing (Art. 57(4)).

13.4 We do not ask you to give up your right of withdrawal, and we explain why

Activating the Service does not make you lose your right of withdrawal, and these Terms do not say so anywhere.

Art. 59(1)(a) of the Codice del consumo excludes withdrawal for service contracts after the service has been fully performed. A monthly or annual Subscription has not been fully performed the day after activation: as long as the period is running, performance is ongoing and the right of withdrawal remains. Likewise, we do not rely on letter (o) of the same Article, which concerns the supply of digital content not on a tangible medium: ours is a continuing digital service, and the law keeps the two concepts distinct.

So the tick box in section 13.3 serves one purpose only: to make the proportionate amount for the days already served payable to us. It is not a waiver of the right of withdrawal, and we do not present it to you as such.

13.5 The only case in which the Art. 59 exception would be legitimate: SIM activation

SIM activation (section 6.2) is not a continuing service: it is a one-off operation that is completed at the moment the SIM is activated with the network operator, and that costs us what it costs even if you then withdraw. It is the only item in your order for which Art. 59(1)(a) could apply, because it is the only one that can be fully performed within the fourteen days.

For it actually to apply, three things are needed, all of them required:

  1. activation must be presented and accepted as a separate item, with its own price;
  2. you must expressly ask for that specific service to be performed immediately;
  3. you must acknowledge that, once it has been fully performed, the right of withdrawal does not apply to that item.

Until this arrangement has been validated, we do not apply it: if you withdraw within the fourteen days, we also refund the SIM activation fee, and we retain only the proportionate part of the fee under section 13.3.

13.6 Refunds

We refund you within fourteen days of being informed of your withdrawal, using the same means of payment you used, without any fees for you. For the Device, we may withhold the refund until we have received it back or until you have supplied evidence of having sent it back.

13.7 Returning the Device

If you withdraw from the contract for the supply of the Device, you send it back to us within fourteen days of informing us of your withdrawal, to our registered office address. The direct cost of returning it is borne by the Customer (standard tracked shipping).

You are liable only for any diminished value of the Device resulting from handling other than what is necessary to establish its nature, characteristics and functioning. Having connected it to try it out is not excessive handling.

14. Model withdrawal form

Complete and return this form only if you wish to withdraw.

To: Business Gates S.r.l., Via Ripamonti 44, 20141 Milano — info@bgates.it — fax 02 52 20 18 20 I/We (\) hereby give notice that I/We (\) withdraw from my/our (\) contract of sale of the following goods (\) / for the supply of the following service (\): \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ Ordered on (\) / received on (\): \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ Serial number of the Device: \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ Name of consumer: \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ Address of consumer: \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ Signature of consumer (only if this form is notified on paper): \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ Date: \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ (\) Delete as appropriate.

15. Device guarantee

15.1 Legal guarantee of conformity (if you are a Consumer)

The seller is liable for any lack of conformity that becomes apparent within two years of delivery; the right of action becomes time-barred twenty-six months after delivery (Art. 133 of the Codice del consumo). You are entitled, in the order laid down by law, to repair or replacement free of charge and, where the conditions are met, to a price reduction or termination of the contract.

The seller is BGates if you bought the Device from us; it is the Distributor or the Installer if you bought it from them. In both cases you can contact us for support on the Service.

No clause of these Terms reduces or excludes these rights, which are mandatory.

Throughout the guarantee period we provide and notify you of the updates, including security updates, needed to keep the Device in conformity. The stated support period is 5 years from the date of purchase of the Device, and it is the same minimum period for which we provide security updates for the Device firmware and for the Service.

15.2 If you are a professional

Articles 1490 et seq. of the Italian Civil Code apply: defects must be notified within eight days of discovery, and claims become time-barred one year after delivery, unless otherwise agreed in writing.

15.3 The commercial guarantees stated on screen

The Business Plan states ‘5-year device guarantee’ and the Smart Plan ‘2 years’. These are commercial guarantees, which are in addition to the legal guarantee and do not replace it: you are entitled to the legal guarantee in any case, on the terms of section 15.1.

16. Distributors and Installers

If you buy as a Distributor or as an Installer:

  1. you are offered only one Plan: the Business Plan with annual billing. The other Plans are not offered to you and cannot be bought from your account;
  2. the Distributor pays online, by card or SEPA Direct Debit, and invoicing follows section 10;
  3. the Installer does not pay online: activation starts immediately and the Installer receives an invoice from BGates. On expiry we notify you and invoice you for the renewal. This is how it is designed: at present, non-payment of an invoice does not automatically suspend the Service, and this does not reduce the obligation to pay or BGates's right to take recovery action;
  4. when you activate a Device for a Customer, the Device is not registered in your name and your number is not authorised on the Customer's Entrance;
  5. you are not a Consumer: you do not have the fourteen-day right of withdrawal in section 13, and the clauses in section 21 apply;
  6. the Terms for Customers and Administrators (/condizioni-amministratori) also apply, together with the Data Processing Agreement annexed to them.

The notice period for terminating any open-ended relationship agreed in writing is 30 days, the same for both parties.

17. Updates and changes to the Service

Updates. Throughout the Subscription we inform you of available updates, including security updates, and we provide them to you. If you do not install an update that we told you about and for which we gave you adequate instructions, we are not liable for the resulting lack of conformity.

During a Device update the Entrance may not respond to commands for a few minutes: this is a stated window, not a fault.

Changes. We may change the Service beyond what is needed to keep it in conformity only if there is a valid reason, which we state to you, at no additional cost to you and notifying you in advance. If the change has a negative impact on your use of or access to the Service, and you are a Consumer, you may terminate free of charge within thirty days of the notice — unless the impact is negligible or we allow you to keep the unmodified version at no cost.

Refunds. Any refund due for a price reduction or termination reaches you within fourteen days, using the same means of payment and without fees.

18. Data generated by your Device

The Device generates data while it is in use: events and commands of the Entrance (the Opening Log), relay status, time slots and timers set, online presence, temperature measured by the on-board sensor, network data from the SIM and the location of the cell the Device is connected to.

QuestionAnswer
Is it generated continuously?yes, for as long as the Device is connected
Where is it stored?on our systems, hosted by netcup GmbH, Nuremberg (Germany), and partly on board the Device
For how long?all the periods are in the Retention Policy (/conservazione), which forms part of these Terms
How do you obtain it?from the Private Area: export of the Opening Log and a copy of your data
How do you delete it?with the decommissioning procedure in the Account Security Rules and with a deletion request from the Private Area
What use do we make of it?we provide the Service and ensure its security. We use the Device's non-personal data (temperature, relay status, diagnostics) in aggregated form for maintenance and improvement of the product: it is this clause that allows us to do so, and without it we could not

Exporting your data and deleting your Account are done from the Private Area, and both are in operation from the date this version comes into effect: in the dashboard, from the profile menu under ‘Legal documents and your data’, or at https://app.bgates.it/profilo. If you prefer, you can always ask us to do it by writing to info@bgates.it. The exact list of what is deleted and what remains is in the Retention Policy (/conservazione), section 9.

How much data is involved. As at the date of this version, the Service processes the data of about 15 Devices and 60 authorised numbers (September 2026). This is the order of magnitude we state before the contract is concluded.

19. Personal data protection

Who processes your data, for what purposes, on what legal basis, for how long and what you can ask for is set out in the Privacy Notice (/privacy). The notice is read, not accepted: you will not find an ‘I accept the privacy policy’ box, because it would be neither necessary nor valid.

When you decide who can open your Entrance, you are the controller of that data and we process it on your behalf: the rules are in the Data Processing Agreement, annexed to the Terms for Customers and Administrators.

20. Complaints, dispute resolution, governing law and jurisdiction

Complaints. Write to us at info@bgates.it: we reply within 30 days with a proposed solution.

ADR. You can contact an ADR body entered in the list kept by the Ministero delle Imprese e del Made in Italy (Italian Ministry of Enterprises and Made in Italy) (www.mimit.gov.it), which is the list of competent authorities provided for by Art. 141-decies of the Codice del consumo. Using an ADR body does not take away your right to go to court. The European ODR platform no longer exists: it was shut down on 20 July 2025.

Governing law. Italian law. If you are a Consumer, this choice does not deprive you of the protection afforded to you by the mandatory rules of the country in which you habitually reside.

Jurisdiction. If you are a Consumer, the mandatory territorial jurisdiction of the court of the place where you reside or have elected domicile applies, if in Italy. If you are a professional, the courts of Milan have exclusive jurisdiction, and this clause is among those in section 21.

21. Clauses requiring specific approval (professionals)

The clauses listed below are specifically approved by the business Customer, by an act separate from acceptance of these Terms.

How they are approved. Approval is an act separate from acceptance of these Terms. In the gate of the dashboard and of the app, next to the tick box with which you accept the document, a second, separate box appears: ‘I specifically approve the clauses…’, with the list that follows. Neither box is pre-ticked, and ticking the first does not tick the second. For each approval we record the document and its version, the list of clauses approved, the date and time, and the IP address and browser from which it was given.

No.ClauseSection
1Automatic renewal of the Subscription unless cancelled9.2
2Change of the fee with prior notice and an annual cap9.5
3BGates's right to suspend the Service for non-payment12
4Termination of the contract for breach not remedied12
5Limitation of the offer to Distributors and Installers to the annual Business Plan only16
6Notification and limitation periods of the guarantee towards the professional15.2
7Right to change the Service for a valid reason, with prior notice17
8Exclusive jurisdiction of the courts of Milan20

These clauses do not apply to a Consumer to the extent that they would be unfair: in particular, the Milan jurisdiction clause (no. 8) and the guarantee periods in no. 6 do not apply to a Consumer, and sections 13, 15.1 and 20 apply to a Consumer instead. No clause in this list shifts onto you the burden of proving a malfunction, reserves to BGates the right to decide whether the Service is in conformity, or limits your access to your Device's data.

22. If we change these Terms

The Terms that apply to your purchase are those in force on the day you made the purchase, in the version that was shown to you and that we recorded. A new version does not by itself change a contract that has already been concluded.

If we change something substantial — the price, the duration, the content of the Plan, renewal, withdrawal, the guarantee, a clause that concerns you — we tell you by email 30 days in advance and ask you to accept the new version before the next renewal. If you do not accept it, you do not renew: the current Subscription continues until expiry on the old terms. If the change to the Terms accompanies a change to the Service that has a negative impact on your use, the thirty-day free termination right in section 17 applies.

Version 2026.09.24-1 — in effect from 24 September 2026. When we change something substantial — a new purpose, a new supplier, a longer retention period, a clause that concerns you — we tell you by email and ask you to accept the new version the next time you sign in. Corrections of form do not change the version. Previous versions are available on request from info@bgates.it.
